Terms of Service

By accessing this website or engaging any services provided by Exazon Research ("we," "us," "Company"), you ("Client") agree to be bound by these Terms of Service. Please read them carefully. These Terms apply internationally; where local mandatory consumer protection laws provide greater rights, those rights are preserved.
1. Services
Exazon Research provides market research, panel management, data collection, advanced analytics, and strategic consulting services. Specific project deliverables, timelines, methodologies, and pricing are set forth in separate written agreements (Statements of Work or Project Agreements) executed between the parties. These Terms govern the general relationship in the absence of, or in addition to, such agreements.
2. Intellectual Property
All research reports, data outputs, methodologies, survey instruments, analytical frameworks, and any other deliverables produced by Exazon Research are proprietary to Exazon Research unless otherwise agreed in writing. Upon full payment, Clients receive a non-exclusive, non-transferable licence to use final deliverables for their own internal business purposes. Clients may not resell, sublicence, or reproduce deliverables for third parties without prior written consent.
3. Confidentiality
Both parties agree to maintain strict confidentiality of all proprietary, business, and technical information shared during the course of engagement ("Confidential Information"). Confidential Information shall not be disclosed to third parties without prior written consent, except as required by law. This obligation survives termination of any service agreement for a period of 5 years.
4. Data & Privacy
All personal data collected during research engagements is handled in compliance with applicable data protection laws, including GDPR, UK GDPR, and CCPA where applicable. Respondent data is anonymised before delivery to Clients unless otherwise agreed. Clients must not attempt to re-identify individual respondents from data sets provided. 5. Payment Terms
Unless otherwise agreed in writing, invoices are due within 30 days of issuance. Late payments may attract interest at 1.5% per month (or the maximum permitted by applicable law, whichever is lower). Exazon Research reserves the right to suspend services for accounts overdue by more than 30 days.
6. Limitation of Liability
To the maximum extent permitted by applicable law, Exazon Research shall not be liable for any indirect, incidental, special, consequential, or punitive damages arising from the use of our services or research outputs. Our total aggregate liability to any Client shall not exceed the total fees paid by that Client for the specific service giving rise to the claim in the 12 months preceding the claim.
7. Warranties & Disclaimer
Exazon Research warrants that services will be performed with reasonable skill and care, consistent with industry standards. Research outputs reflect conditions at the time of data collection; market conditions may change subsequently. Exazon Research does not guarantee specific business outcomes resulting from the use of our research.
8. Force Majeure
Neither party shall be liable for delays or failures in performance resulting from circumstances beyond their reasonable control, including but not limited to natural disasters, pandemics, acts of government, war, civil unrest, internet outages, or third-party supplier failures ("Force Majeure Events"). The affected party shall notify the other promptly and use reasonable efforts to resume performance as soon as practicable.
9. Dispute Resolution
The parties agree to first attempt resolution of any dispute through good-faith negotiation. If unresolved within 30 days, disputes shall be referred to binding arbitration under the rules of the Indian Council of Arbitration (ICA), conducted in English in Lucknow, India. For clients in the EU or UK, mandatory statutory rights (including the right to bring claims before local courts) are not affected. Nothing in these Terms prevents either party from seeking urgent injunctive relief from a court of competent jurisdiction.
10. International Clients
These Terms are intended to apply to clients worldwide. Clients in the EU/EEA acknowledge that Exazon Research, as a non-EU entity, processes data under Standard Contractual Clauses where required by GDPR. Australian, Canadian, and other international clients note that local consumer protection statutes may grant additional rights that these Terms do not limit.
11. Governing Law
These Terms shall be governed by and construed in accordance with the laws of India. Subject to the dispute resolution clause above, the courts of Lucknow, Uttar Pradesh, India shall have jurisdiction over disputes not referred to arbitration, except where a Client's local law mandates a different jurisdiction.
12. Changes to Terms
We reserve the right to modify these Terms at any time. Material changes will be communicated at least 30 days in advance via email or website notice. Continued use of our services after the effective date constitutes acceptance of the revised Terms.
13. Severability
If any provision of these Terms is found to be invalid or unenforceable, the remaining provisions shall continue in full force and effect.
